P4 3.4ghz EE vs. 2.4ghz 3800+ Venice

I have some spare parts to upgrade my lil' bro's pc but i don't know how much of an upgrade it would be if any. he currently runs a 3.4ghz EE p4, 2gig of ram, and a 1950pro agp card. i could build him an amd rig using this 2.4ghz 3800+ venice, 2gigs of ram and a 1950pro pci-e card.
 
I don't think you will see much, if any, gain in performance. Although if the upgrade allows him to switch over the pci-express then it may be worthwhile.
 
It's not worth the time. The only benefit would be the 64bit processing. Even that isn't worthwhile yet. Leave the P4 in and sell the 3800+
